Forming a US LLC as a non-resident is one of the most-asked questions in our Telegram channel. The internet is full of $49 LLC offers that end in frustration because the bank account, EIN, and Stripe never materialize. This guide gives you the whole picture, and the real numbers, for 2026.
Step 1, Pick the right state

Our recommendation: Wyoming for 90% of non-resident founders. Lower cost, strong privacy, recognized by every major bank and processor, no corporate tax, no reporting of beneficial owners to the state (you still must report to FinCEN).
When to pick Delaware instead.Pick Delaware if you plan to raise US venture capital (nearly every VC requires Delaware C-Corp), or if you sell to enterprise customers who see "Delaware" as a signal of legitimacy.
Step 2, File the formation documents
Options:
- DIY directly on the state website, $100 + no extras, but you need a US address and registered agent already arranged
- Formation service, Northwest Registered Agent ($225+$125/yr), Harvard Business Services ($179+$180/yr), IBOCore ($1,500 bundle including all of the below)
- Cheap providers (ZenBusiness, Incfile), $49 loss-leader, upsells everything else
You will need:
- Legal LLC name (unique in the state)
- Registered agent name + US address
- Member names, but non-residents can use a US nominee or IBO here to stay off public records
- Principal office address (US required in most states)
- Organizer signature (your formation service or your IBO)
Step 3, Registered Agent
Every US LLC needs a registered agent in the state of formation. This is a US-resident person or business with a physical address (not PO box) in the state, available 9am-5pm weekdays to receive legal mail.

Step 4, File the BOI report with FinCEN
Since January 2024, all US entities (with a few exceptions) must file a Beneficial Ownership Information (BOI) report with FinCEN naming every individual who owns 25%+ of the entity or exercises substantial control. This is free but mandatory.

- Penalty for non-filing: $500/day up to $10,000 + criminal penalties
- Must file within 30 days of formation for new entities
- Must refile within 30 days of any change (new member, new address, etc.)
This is not optional.Many 2022-era YouTube tutorials skip BOI filing because they pre-date the law. Failing to file is a serious federal violation with per-day fines. Do not skip this.
Step 5, Get the EIN

- No SSN? File SS-4 by fax with "Foreign" in SSN field, 4-8 weeks
- With a US signer as Third Party Designee, 24-48 hours by phone
- Cost: free from the IRS (services charge $200-$500 for the admin work)
Step 6, Open a US business bank account
This is where most DIY paths collapse. Your options:

The core insight: neobanks are easy to open but easy to lose. Physical banks are hard to open but very stable once you are in. An IBO lets you do both, neobank as day-to-day, physical bank as backup.
Step 7, Operating Agreement
Not legally required in most states, but absolutely required by every bank and processor. The OA defines:
- Who the Members are and their ownership %
- Who is the Managing Member (usually your IBO)
- Who has signing authority
- How distributions and voting work
- Death / disability / transfer provisions
Step 8, Taxes
A single-member LLC owned by a non-resident alien is treated as a disregarded entity for US tax purposes by default. This means:
- The LLC does not file an income tax return
- Form 5472 must be filed annually (penalty: $25,000 for non-filing)
- The owner files Form 1040-NR for US-sourced income only
- Most US-based SaaS revenue earned by a non-resident with no US employees is not taxable in the US if there is no "permanent establishment"
- Consult a CPA, every case is different
