What an LLC gives a non-resident merchant
The entity most US acquirers see on a merchant application, and the two documents they read first.
A limited liability company is the default US entity for a merchant who sells online. It is simple to run: no board, no stock ledger, no shareholder formalities. Its governing document is the operating agreement, which names the member and the manager and says who can sign for the company. Banks and acquirers read it to confirm that the person opening the account or signing the merchant agreement is the person the LLC authorizes.
The second document is the EIN letter. The Employer Identification Number is the tax identifier the IRS assigns to the LLC; every bank application, every merchant application and every tax form for the entity carries it. Where the LLC alone gets stuck
Formation gives you a legal entity. Processing needs a US person behind it. Four places where a non-resident LLC stops.
At the bank
A business account needs an authorized signer the bank can verify: a US address, a US identity document, a US credit file. A non-resident owner rarely has any of the three, so the application is declined, or an account is opened at a fintech that can freeze it at its next review.
At the acquirer
A US merchant application asks for a US-resident authorized signer and, for high-risk volume, a personal guarantor with a US credit file. The LLC can be perfect on paper; if the only person behind it lives abroad, the underwriter has nobody to underwrite.
On the verification call
Banks and acquirers call the signer to confirm the business, the products and the volumes. A signer who cannot be reached, or who cannot describe the business, ends the application. A formation service does not provide a person who answers that call.
On the state and the address
An LLC formed in a state where nobody involved lives, with a registered-agent address as its only footprint, reads as a shell. Underwriters compare the state of formation, the signer's address and the business address and expect them to line up.

The LLC file, item by item

When a C-Corp is the better pick
Both entities ship in the same package. The difference is structural, not a matter of quality.
A C-Corp replaces the operating agreement with bylaws, a board, officers and a stock ledger. Merchants pick it when they plan to bring in partners or investors who expect shares, or when the professional handling their situation recommends a corporation. Banks and acquirers underwrite both; what changes is the file they ask for, from an operating agreement to bylaws, an officer list and a board resolution.
If none of that applies, the LLC is the shorter path: fewer documents, one governing agreement, one signer. Which state is the LLC formed in?
The director's home state, the one on their driver's license and proof of address. IBOCore never picks a state for privacy or fees, the way Wyoming or Delaware shells are set up, because a state that matches nobody involved reads as a shell to underwriters. The state of each available package is shown on its inventory card.
Is the EIN already issued when the LLC is delivered?
Yes. The EIN is obtained for the LLC before the package enters inventory, and the IRS confirmation letter is part of the document bundle you receive on delivery day. You do not apply to the IRS yourself or wait for a letter: the number is already tied to the entity and to the bank account.
Whose name is on the LLC, the EIN and the bank account?
The director's, on all three. The Independent Business Operator is the name on the formation documents, the name on the EIN and the name on the bank account, which is what a US bank and an acquirer underwrite. You operate the business and hold full access to the bank account; the director does not interfere.
I already have a US LLC. Can IBOCore add a director and a bank account to it?
No. IBOCore sells one thing: a complete package built in-house, with the LLC, the director, the EIN, the bank account and the documents matching each other from the start. It does not attach a director or open an account for an LLC formed elsewhere, and it does not sell a stand-alone signer. An LLC you already hold stays yours; the package is a second, separate entity.
How is the LLC taxed when the owner is a non-resident?
That depends on the owner's situation, the structure and the countries involved, and IBOCore does not advise on it. The package is sold as a service; tax and legal questions about your own position belong with a professional who knows your file. Your representative can confirm the entity type and the state, not the tax treatment.
Can I use the LLC for something other than a merchant account?
The package is built and priced for opening a US merchant account, and the operating conditions reflect it: if no merchant account has been opened within 30 days of delivery and the package sits idle, IBOCore can reclaim it, and the setup fee is not refunded. You also classify your billing model honestly at purchase; a misclassification suspends the package.
